The acquisition, announced this morning, brings together Factor\u2019s experience [\u2026]<\/p>\n<p><a href=\"https:\/\/www.factor.law\/\" rel=\"nofollow noopener\" target=\"_blank\">Factor<\/a>, a managed services company that describes itself as a provider of \u201cintegrated law\u201d to corporate legal departments, has acquired <a href=\"https:\/\/www.theoryandprinciple.com\/\" rel=\"nofollow noopener\" target=\"_blank\">Theory and Principle<\/a>, a legal technology design and development agency, in a move intended to advance Factor\u2019s strategic shift toward developing and delivering AI-first legal services.<\/p>\n<p>The acquisition, announced this morning, brings together Factor\u2019s experience in providing \u201ccomplex legal work at scale,\u201d as it calls it, with Theory and Principle\u2019s expertise in legal technology design and development, better positioning it to develop solutions that address real pain points in legal work.<\/p>\n<p>Under the deal, the Portland, Maine, based Theory and Principle will maintain its independent operations serving law firms, legal tech companies, and legal aid organizations, while also supporting Factor\u2019s AI development initiatives.<\/p>\n<div id=\"attachment_48916\" class=\"wp-caption alignright\"><a href=\"https:\/\/i0.wp.com\/www.lawnext.com\/wp-content\/uploads\/2025\/02\/Nicole-Bradick-new.jpg?ssl=1\" rel=\"nofollow noopener\" target=\"_blank\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" aria-describedby=\"caption-attachment-48916\" class=\"wp-image-48916\" src=\"https:\/\/i0.wp.com\/www.lawnext.com\/wp-content\/uploads\/2025\/02\/Nicole-Bradick-new.jpg?resize=400%2C400&#038;ssl=1\" alt=\"\" width=\"400\" height=\"400\" title=\"\"><\/a><\/p>\n<p id=\"caption-attachment-48916\" class=\"wp-caption-text\"><strong>Theory and Principle CEO Nicole Bradick.<\/strong><\/p>\n<\/div>\n<p>Theory and Principle founder and CEO <a href=\"https:\/\/www.linkedin.com\/in\/nicole-bradick-30161121\/\" rel=\"nofollow noopener\" target=\"_blank\">Nicole Bradick<\/a> will join Factor as global head of innovation, while continuing to oversee Theory and Principle\u2019s existing business. All 12 of Theory and Principles\u2019 employees will remain with the company.<\/p>\n<p>The acquisition comes as Factor has been expanding its AI capabilities through several initiatives, including <a href=\"https:\/\/www.factor.law\/solutions\/sense-collective\" rel=\"nofollow noopener\" target=\"_blank\">The Sense Collective<\/a>, a collaboration community of in-house legal leaders focused on generative AI adoption, and the <a href=\"https:\/\/www.factor.law\/news-and-events\/accelerating-push-into-legal-ai-factor-broadens-its-co-innovation-community-and-launches-ai-adoption-acceleration-initiative\" rel=\"nofollow noopener\" target=\"_blank\">Sensemaker Academy<\/a>, a training program to accelerate AI implementation among in-house lawyers.<\/p>\n<p>\u201cThis acquisition marks a pivotal moment as we help legal departments navigate one of the most significant shifts in legal services,\u201d said <a href=\"https:\/\/www.linkedin.com\/in\/varunmehta\/\" rel=\"nofollow noopener\" target=\"_blank\">Varun Mehta<\/a>, Factor\u2019s CEO. \u201cGen AI is reshaping how legal work gets done, and we\u2019re uniquely positioned to help legal teams move beyond experimentation to integrate gen AI into their daily operations.\u201d<\/p>\n<h3>Company Backgrounds<\/h3>\n<p>Bradick, a lawyer who had previously been partner and chief strategy officer at another legal development firm, <a href=\"https:\/\/www.lawnext.com\/2018\/01\/former-curolegal-partner-nicole-bradick-forms-legal-tech-design-development-firm.html\" rel=\"nofollow noopener\" target=\"_blank\">founded Theory and Principle in 2018<\/a>. The company has established a reputation as a leading designer of legal technology, working with AmLaw 200 law firms, legal tech companies, and legal aid organizations.<\/p>\n<p>Among the projects T&amp;P developed were a <a href=\"https:\/\/www.lawnext.com\/2024\/03\/in-los-angeles-bet-tzedeks-new-online-legal-clinic-helps-pro-se-people-with-conservatorships.html\" rel=\"nofollow noopener\" target=\"_blank\">self-help conservatorship clinic<\/a>, the <a href=\"https:\/\/www.lawnext.com\/2022\/09\/new-release-of-virtual-law-clinic-adds-timekeeping-case-management-integration-chat-and-more.html\" rel=\"nofollow noopener\" target=\"_blank\">Virtual Law Clinic<\/a> to help law firms manage pro bono matters, <a href=\"https:\/\/www.theoryandprinciple.com\/our-work\/lhnm\" rel=\"nofollow noopener\" target=\"_blank\">Law Help New Mexico<\/a> to help people connect with free legal help, and others that can be seen on <a href=\"https:\/\/www.theoryandprinciple.com\/our-work\" rel=\"nofollow noopener\" target=\"_blank\">this page at Theory and Principle\u2019s website<\/a>.<\/p>\n<p>Theory and Principle also helped contract lifecycle management company Agiloft redesign its UI and UX, and Bradick discussed in a <a href=\"https:\/\/www.lawnext.com\/2021\/09\/nicole-bradick-and-andy-wishart-on-why-ui-and-ux-matter-in-legal-tech-adoption.html\" rel=\"nofollow noopener\" target=\"_blank\">2021 episode of my LawNext podcast<\/a>, and in 2022 her firm <a href=\"https:\/\/www.lawnext.com\/2022\/03\/with-platform-redesign-blackboiler-adds-playbook-builder-that-makes-it-easy-to-create-contract-playbooks.html\" rel=\"nofollow noopener\" target=\"_blank\">designed the new user interface<\/a> for contract review company BlackBoiler.<\/p>\n<p>Factor was <a href=\"https:\/\/www.lawnext.com\/2019\/02\/alternative-legal-service-company-axiom-prepares-ipo-spins-off-two-companies.html\" rel=\"nofollow noopener\" target=\"_blank\">formed in 2019 as a spin-off<\/a> from alternative legal services provider <a href=\"https:\/\/www.axiomlaw.com\/\" rel=\"nofollow noopener\" target=\"_blank\">Axiom<\/a>, originally under the name Axiom Managed Services, and then <a href=\"https:\/\/www.lawnext.com\/2020\/01\/axiom-managed-services-spin-off-changes-name-to-factor.html\" rel=\"nofollow noopener\" target=\"_blank\">rebranding as Factor<\/a> in 2020.\u00a0Mehta, a veteran of the legal tech industry, was\u00a0<a href=\"https:\/\/www.lawsitesblog.com\/2020\/01\/new-ceo-named-for-axiom-managed-services-spin-off-factor.html\" rel=\"nofollow noopener\" target=\"_blank\">named Factor\u2019s CEO<\/a>\u00a0in 2020, just before the global pandemic.<\/p>\n<p>Several months later, the company\u00a0<a href=\"https:\/\/www.lawsitesblog.com\/2020\/08\/investment-firm-to-take-majority-share-in-factor-the-axiom-managed-services-spin-off.html\" rel=\"nofollow noopener\" target=\"_blank\">received an investment<\/a>\u00a0it characterized as one of the largest in the global legal solutions market.<\/p>\n<h3>\u2018AI-First, AI-Led\u2019<\/h3>\n<p>In an interview yesterday with Mehta and Bradick, Mehta said the deal reflects Factor\u2019s evolution from its origins in managed services towards a greater focus on using AI to service its clients.<\/p>\n<div id=\"attachment_48918\" class=\"wp-caption alignleft\"><a href=\"https:\/\/i0.wp.com\/www.lawnext.com\/wp-content\/uploads\/2025\/02\/Varun-Mehta-sq.jpg?ssl=1\" rel=\"nofollow noopener\" target=\"_blank\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" aria-describedby=\"caption-attachment-48918\" class=\"wp-image-48918\" src=\"https:\/\/i0.wp.com\/www.lawnext.com\/wp-content\/uploads\/2025\/02\/Varun-Mehta-sq.jpg?resize=400%2C400&#038;ssl=1\" alt=\"\" width=\"400\" height=\"400\" title=\"\"><\/a><\/p>\n<p id=\"caption-attachment-48918\" class=\"wp-caption-text\"><strong>Factor CEO Varun Mehta.<\/strong><\/p>\n<\/div>\n<p>\u201cWe are really driving towards being an AI-first, AI-led organization that\u2019s still focused on our core mission of helping general counsel solve the bigger problem of complex legal work at scale,\u201d he said.<\/p>\n<p>Over the past 18 months, he said, Factor has developed as many as a dozen AI agents focused on different aspects of contracting and transaction processes. The agents draw on Factor\u2019s 15 years of experience in complex legal work, and are designed to be modular in recognition of the fact that \u201cone platform does not fit all and complex work happens in different ways.\u201d<\/p>\n<p>\u201cFactor is sort of an ideal home for what we\u2019re looking for,\u201d Bradick told me. \u201cWe wanted a larger platform to be able to explore and do more interesting work around AI, and they\u2019re knee-deep in that. But they also give us the opportunity to keep doing what we\u2019re doing.\u201d<\/p>\n<p>While Bradick said that about 50% of Theory and Principle\u2019s current projects involve some gen AI component, she is excited that the acquisition will give her team access to Factor\u2019s research and development team and its experience in developing AI solutions for specific use cases.<\/p>\n<p>\u201cThat\u2019s also really exciting for us because we can now tap into their learnings over the past couple of years where they\u2019ve really been able to go deep and build some pretty impressive things,\u201d Bradick said.<\/p>\n<p>For Factor, the deal brings enhanced capabilities in user experience and interface design, which Mehta sees as critical to successful AI implementation. \u201cWe wanted to bolster our capabilities around technology, bolster our capabilities around user experience and bolster leadership as we work to go take on a digital first AI-led experience,\u201d he said.<\/p>\n<p>The acquisition follows Factor\u2019s <a href=\"https:\/\/www.factor.law\/news-and-events\/trailblazing-gcs-combine-forces-to-spearhead-genai-transformation\" rel=\"nofollow noopener\" target=\"_blank\">launch last year<\/a> of The Sense Collective, which brought together legal departments from companies including Microsoft, Intel, HSBC, and Anglo American to collaborate on AI implementation.<\/p>\n<p>Rather than having companies individually spend large sums on consultants, Mehta said, the collective enables members to share costs and learn from each other\u2019s experiences.<\/p>\n<h3>Keeping Humans In the Loop<\/h3>\n<p>\u201cWe think that the corporate law legal market remains a very untapped opportunity,\u201d Mehta said. While his company\u2019s core focus continues to be on complex legal work at scale, and while AI is transforming how that work gets done, he believes human expertise remains essential.<\/p>\n<p>\u201cIn any iteration of AI, at least in the foreseeable future \u2026 human in the loop will be important. Having experts understand how the work gets done will be important. Having a strong process and redundancy will be important.\u201d<\/p>\n<p>The acquisition also positions Factor to potentially expand its work into the law firm market, where Theory and Principle has established relationships. While Factor traditionally hasn\u2019t worked with law firms, Mehta suggested AI might create new opportunities for collaboration between firms, in-house teams, and integrated legal service providers.<\/p>\n<p>\u201cWe think that if we want to solve this bigger problem, there is another leg to the stool, which is the law firms,\u201d he said. \u201cFinding a way to think about how technology and process can bridge the gap between firms, in-house and integrated law providers like ourselves would be really exciting.\u201d<\/p>\n<p>On the flip side, Bradick believes her law firm clients can benefit from her becoming part of Factor. \u201cThere is a lot of stuff that Factor is doing now that I think will be really helpful to our clients, particularly around education and training.\u201d<\/p>\n<p>Financial terms of the acquisition were not disclosed.<\/p>\n<hr \/>\n<p><em>Want to learn more about these two companies?
