Well, it happened again. A determiner can be an article or a limiting adjective.<\/p>\n<p>Those tiny words \u201cthe,\u201d \u201ca,\u201d and \u201can\u201d are articles. They come in two flavors. \u201cThe\u201d is a definite article; it refers to a unique thing. \u201cA\u201d or \u201can\u201d could be any of the things being referenced; those articles are indefinite. The determiner at issue in <a href=\"https:\/\/law.justia.com\/cases\/federal\/appellate-courts\/ca5\/22-20228\/22-20228-2025-07-07.html\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Paloma Resources v. Axis Insurance Company<\/a> was \u201cthe.\u201d<\/p>\n<p>Limiting adjectives come in several varieties and some words can serve two functions:<\/p>\n<ul class=\"wp-block-list\">\n<li>Demonstrative: this, that, these, and those<\/li>\n<li>Distributive: each, every, all, and both<\/li>\n<li>Interrogative:\u00a0 whose, what, and which<\/li>\n<li>Possessive: my, your, his, her, its, our, their, and whose<\/li>\n<li>Quantifying:\u00a0 many, some, few, any, all, several, and numbers<\/li>\n<li>Relative: what, whatever, which, and whichever.<\/li>\n<\/ul>\n<p>Determiner adjectives are different from descriptive adjectives. <a href=\"https:\/\/www.attorneyatwork.com\/getting-your-adjectives-in-proper-order-john-bercow-would-be-happy\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Determiners come before other types of adjectives.<\/a><\/p>\n<h2 class=\"wp-block-heading\" id=\"h-does-the-change-the-meaning\">Does \u201cThe\u201d Change The Meaning?<\/h2>\n<p>Paloma Resources defended and settled a suit alleging the theft of confidential information to unfairly compete. Axis, Paloma\u2019s commercial insurance carrier, denied coverage for the cost of defense and for the settlement based on an intellectual property exclusion:<\/p>\n<p class=\"has-text-color has-link-color wp-elements-d27a4ea93a13716f1c49ffc7bcc03687\"><em><strong>The Insurer shall not be liable \u2026 for Loss on account of any Claim \u2026 based upon, arising out of, directly or indirectly resulting from, in consequence of, or in any way involving any actual or alleged infringement of copyright, patent, trademark, trade name, trade dress, or service mark or the misappropriation of ideas or trade secrets, or the unauthorized disclosure of or access to confidential information \u2026<\/strong><\/em><\/p>\n<p>Paloma argued that the determiner \u201cthe\u201d before \u201cmisappropriation of ideas\u201d separated the following language from the description \u201cactual or alleged.\u201d\u00a0 They claimed that \u201cactual or alleged\u201d only applied to infringement actions per the series-qualifier canon.<\/p>\n<p>The <a href=\"https:\/\/cases.justia.com\/federal\/appellate-courts\/ca5\/17-20389\/17-20389-2018-09-07.pdf?ts=1536341448\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">series-qualifier canon<\/a> says that adjectives only modify a series of nouns when they appear without any intervening modifiers, such as \u201cunreasonable search and seizure.\u201d Inserting a determiner breaks the series, and those adjectives do not modify the later nouns.<\/p>\n<p>Paloma asked the court to consider the language as if it had been written with bullet points like this:<\/p>\n<div class=\"wp-block-group has-text-color has-link-color wp-elements-603a8fe51aa63c77f78e6abd3d98e0dd\">\n<div class=\"wp-block-group__inner-container is-layout-constrained wp-block-group-is-layout-constrained\">\n<p class=\"has-text-color has-link-color wp-elements-5b991c4ce883da18e62a5c48b88ae819\"><em><strong>Intellectual Property: based upon, arising out of, directly or indirectly resulting from, in consequence of, or in any way involving<\/strong><\/em><\/p>\n<ul class=\"wp-block-list\">\n<li><strong><em>any actual or alleged infringement of copyright, patent, trademark, trade name, trade dress, or service mark or<\/em><\/strong><\/li>\n<li><em><strong>the misappropriation of ideas or trade secrets, or<\/strong><\/em><\/li>\n<li><em><strong>the unauthorized disclosure of or access to confidential information<\/strong><\/em><\/li>\n<\/ul>\n<\/div>\n<\/div>\n<p>Get To the Point has advocated <a href=\"https:\/\/www.attorneyatwork.com\/get-your-point-across-with-a-listicle\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">the use of bullet points to clarify language<\/a>.<\/p>\n<p>The Court ruled that Paloma\u2019s construction was reasonable. It found that insertion of the determiner created an ambiguity which would be construed against the drafter, Axis. The case was returned to the district court for further proceedings.<\/p>\n<h2 class=\"wp-block-heading\" id=\"h-now-what\">Now What?<\/h2>\n<p>We\u2019re having trouble understanding why the parties fixated on \u201cactual or alleged\u201d rather than \u201cinvolving.\u201d The initial action pertained to \u201cthe unauthorized disclosure of or access to confidential information.\u201d Even under Paloma\u2019s bullet point construction, the policy seems to exclude coverage for defense and indemnity for this type of action.<\/p>\n<p>It seems like \u201cactual or alleged\u201d is one of those phrases <a href=\"https:\/\/www.attorneyatwork.com\/why-lawyers-are-redundant-history-destiny\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">somebody inserted to make sure all the bases were covered<\/a>. Maybe there\u2019s a ruling somewhere that found that this kind of exclusion only pertained to actual misdeeds or only alleged misdeeds. Even without those adjectives, the operative word seems to be \u201cinvolving.\u201d But we\u2019re not issuing court rulings here, only trying to figure out how to avoid adverse consequences in the future.<\/p>\n<p>These so-called canons of interpretation do not trump the intentions of the parties. <\/p>\n<p>The problem is when the verbiage has been included in a form for years, with signatories paying little attention until a dispute arises. Because they signed off on a form, there was no real meeting of the minds on these arcane provisions. Or maybe they realized the significance of the provision, but now one of the parties needs to find an angle to re-interpret it. After all, that\u2019s what clients pay lawyers to do.<\/p>\n<p>If you can counsel your client before they execute a contract, you can be on guard when you see a series of items. If it is a manuscript contract (not a standardized form), you can try to negotiate a clarifying revision. Often, though, nobody foresees how a dispute will arise.
