Legal Spending is Poised for Another Record Year — and Record Rates
Law firms will be busy—or have the opportunity to be busy—over the next 12 months as clients try to navigate the growing demands, risks and complexities of the economy and the legal world. As discussed in the 16th Annual BTI Market Outlook and Client Service Review, the biggest increases in spending for outside counsel are clustered in key industries and practices.
BTI’s 2025 forecast — based on detailed responses from more than 350 corporate counsel and 23 years of analysis — reveals the top growth practices and industries. This is where clients with the fastest growing legal spend live.

BTI’s 2025 Forecast for Top Growth Practice Areas
BTI research reveals seven practice areas with the most growth:

1. Labor and Employment
The top drivers for the fastest-growing practice include:
- An activist workforce
- Regulations at the state and federal level
- Union activities reaching levels not seen since the 1960s
- Social activism — with workforces protesting against employer positions on geopolitics, DEI, sustainability, and social issues
In addition, the growing wave of layoffs — including backdoor layoffs through return-to-office mandates — add to the needs demanding immediate client attention.
2. Litigation
Clients face a record number of cases. They are spending at record levels to resolve it. High-stakes matters are surging. They are the fastest-growing segment. These exceptionally risky matters consume the bulk of client mind share. Risk is sky-high due to new and novel matters — and the skyrocketing size of the financial claims.
3. M&A
Large companies sit on enormous pent-up demand. Midsize and smaller companies are targets — and these smaller clients are making acquisitions of their own.
Companies are looking to acquire technology and digital-first companies. There is also a robust market for divestitures as companies look to strategically streamline operations.
4. Bet-the-Company Litigation
The number of bet-the-company matters is up almost fourfold over last year. Little of this work is going out to RFP. Clients broadened their definition of bet-the-company as more threats can pose a devastating blow.
5. Class Actions
More companies face class actions than ever. Like litigation, class actions are more complex. Clients suggest courts are allowing more diverse classes and novel claims to get certified. The stakes are bigger than ever — and clients see no end to the deluge of claims.
6. IP Litigation
The keywords in IP Litigation are: “intractable,” “aggressive” and “bigger.”
Technology owners and developers are out looking for infringers — and don’t want to settle. Claims are bigger as technology moves more into businesses’ critical path.
At the same time — defendants are mounting aggressive defenses.
7. Private Equity
Sitting on more new investable funds than ever, look for private equity firms to ramp up activity. Deal closings will increase — as will exits.
These investors are looking for new deal structures and want to develop new capital structures to boost returns and attract new funding.
Fastest-Growing Industries
Understanding a client’s industry is one of the most powerful law firm differentiators in the market. Studying the dynamics of the fastest-growing industries can sharpen your understanding of the industry and its opportunities.
1. High-Tech
With more than 13 acute legal needs, tech is the fastest-growing industry. These needs range from complex litigation to new and boundary-defining litigation — especially in AI. IP strategies and data privacy remain in strong demand. Large and small M&A are a key focus.
2. Financial Services
These clients are developing a new array of financial products. Most are complex and designed to boost returns — they also bring new and unseen risks. This drives the need for regulatory analysis and new litigation.
3. Pharma
A few big pharma companies are enjoying blockbuster hits, while others are building their product pipeline through acquisitions and joint ventures. These clients want dealmakers who understand industry regulations, relationships, and the nuances of how things get done.

5. Healthcare
A flurry of competitive pressures, consolidation, labor issues and standard-of-care issues drive healthcare to be one of the fastest-growing industries for outside counsel needs. These clients need capital to maintain or improve their market position and meet all the regulatory demands of delivering services.
6. Consumer Products
The race for new products is bringing a flurry of unwanted litigation and claims. These clients are embracing social media to market products and engage customers. This social media outreach is attracting new and novel claims, including impacting mental health and causing overeating.
New product introductions keep increasing — and adopting technology is increasing at the same rate. This is driving business but results in unexpected performance or other impacts — bringing litigation.

A Look Back: Top-Spending Industries and Top Growth Practice Areas in 2024
Client spending remained resilient in 2024 — fueled by new needs and lingering issues, more companies than ever pursued innovative business models and adopted digital processes. Combined with strong regulatory headwinds, employee activism, and the emergence of generative AI — and 56% of clients planned to increase legal spending — with another 30% holding at last year’s levels (which were historically high).
We found six industries with outsized increases in spending.
1. High-Tech
Generative AI, regulatory scrutiny, antitrust efforts and export controls, along with copyright and IP issues, drive growth for outside counsel. Regulatory scrutiny, including federal law, plays a significant role in shaping the legal landscape for high-tech companies. Add in the acute issues driven by labor unrest and layoffs and you have clients of every size facing these issues. These clients want industry insight and aggressive approaches.
2. Pharma
These clients are looking to rebuild pipelines and develop new marketing channels. At the same time, they sit squarely in the government’s crosshairs for pricing issues. Additionally, the evolving cannabis law is creating new opportunities and challenges for pharma companies as they navigate the regulatory landscape. Pharma companies are changing their business models to sell directly to consumers through telehealth. Industry insight and new ideas win the work here.
3. Financial Services
A plate of new regulations, the rise of crypto ETFs giving new credibility to cryptocurrency, and fintech drive the need in one of the largest legal spending industries. A deep understanding of regulatory demands and fintech helps differentiate your firm.
4. Health Care
Health care delivery is facing a need for restructuring and capital as it undergoes dramatic change. Knowledge of both health care and business combinations between profit and nonprofits is prized. In addition, the acquisitors, especially private equity, are coming under scrutiny — adding a new legal need for acquiring organizations.
5. Private Equity
Sitting on more fresh investable capital than ever, these investors are looking for deals. At the same time, portfolio companies are beginning to age to the point where limited partners are asking about exits — driving more legal needs.
6. Food/Agritech
The industry is facing a dual set of needs as large companies restructure themselves and spin off divisions and smaller companies develop new products and enter new markets. Every size company is developing new food production techniques. The typical food/agritech company spends two times more than the average company on litigation. Industry knowledge and strategic planning are stand-out differentiators for law firms.

1. Labor & Employment
The combination of a regulatory firehose, layoffs, company restructurings, creation of new jobs, demanding new skills, heightened union activity, employee activism, and evolving labor law set the backdrop for the fastest-growing practice area. Clients of all sizes face increasing needs in almost every industry segment.
2. Cybersecurity
Ever-increasing public scrutiny combined with state-by-state adoption of new privacy regulations serve to drive demand. In addition, new regulations in California and the European Union have far-reaching impacts on companies across the U.S. Add in the data leaks posed by the use of generative AI and you have a robust need.
3. Commercial Litigation
In a reversal from last year, outside counsel spending is growing faster than the caseload — meaning clients are spending to try to work down the caseload even though it keeps rising. Commercial litigation often intersects with criminal law, especially in cases involving serious offenses and complex legal violations. Complex and high-risk matters are the sweet spot. Clients face a bevy of new and novel claims around data, social media use, false claims, and new issues from renegotiating supply chains. Early assessment and levels of aggressiveness are growing as differentiators.
4. Bet-the-Company Cases
New and novel claims combined with aggressive government enforcement are driving bet-the-company matters up. These high-stakes cases require the best strategies and command of risk, making them a critical area within the legal profession. The claims are bigger — as are the risks. The firms that win this business will know their client’s risk tolerance cold — or watch this work get shopped to firms with the best strategies and command of the risk.
5. Class Actions
The plaintiff’s bar keeps getting more creative. Clients facing class actions are increasingly seeking legal advice to navigate the complexities and potential risks involved. In companies going through any kind of business transformation (as 80% are), this results in changes to the business model, and the organization’s structure and business processes — all attract class actions. In addition, companies face claims from unintended use of social media. These clients select law firms that can pinpoint risk and early assessment.
6. IP Litigation
AI copyright issues are stealing headlines, but the growth goes beyond AI. More companies are feeling the need to find those who infringe on their patents as technology becomes more a part of every product and company. Midsize companies are finding themselves brought into IP litigation by acquiring products or adding technology to their products — and finding the vendor may have infringed. Clients want law firms that are aggressive and creative in assessing both AI-related claims and defenses — and are relentless and comfortable being aggressive.

A Look Back: Practice Outlook 2023
Clients are certain about their plans despite uncertainty surrounding the legal industry and the world. Based on interviews, fully 52% plan to increase spending on outside counsel. Another 37% are holding steady at 2022’s pace. This leaves only 11% cutting spending.
BTI Consulting Group’s recent study, based on more than 340 interviews with top legal decision-makers, reveals these tailwinds:
- Record levels of workloads for the third year in a row.
- Higher spending on outside counsel than last year.
- Certain industries increase spending at much faster rates than others.
Industries Showing the Most Growth in Legal Spending in 2023
We found six industries with the largest increases planned:
1. Private Equity
These investors are sitting on record levels of fresh capital. They are looking for the right valuations. They are also taking on more of the deals themselves instead of relying on lenders. The funds are starting to invest and acquire public companies. These funds are buyers when large companies sell off non-strategic business units. Private equity investors are jumping headfirst into the credit business — becoming lenders as well as investors.
These clients look to large firms for the biggest deals and small and midsize firms for smaller deals.
2. Family Offices
Family offices are the fastest-growing segment of private equity investing. These investors believe they bring a different approach than private equity firms. Family offices offer a longer time for receiving their returns. They are often passionate about the industry from which they came and are more prone to bring operational help to their investments.
Family offices are looking for law firms to understand their unique needs and structures. Family offices are building infrastructure and expect law firms to refer deals and make introductions to co-investors. They also want law firms that can help build a talent pool and are passionate about the same industry they are. Family offices are expected to grow quickly for the foreseeable future.
3. Technology
Despite battered-down stocks and regulatory scrutiny, tech companies are spending on outside counsel. They continue to make acquisitions, sell to private equity firms and protect their IP assets. They are busy strategizing about the impact of the proposed FTC ban on non-competes. Employee activism is on the rise. All this creates continuing demand for legal services at tech companies of almost all sizes.
4. Life Sciences
More life sciences companies are betting on blockbuster drugs with enormous market size. Companies are becoming more aggressive about protecting their IP and managing the regulatory process. Development-stage companies are looking for deals to raise capital while larger companies look to build out their pipelines. All this boosts spending for law firms that can speak the language.
5. Big Pharma
COVID-19 introduced a race to develop vaccines at warp speed. This race is spreading to other vaccines and drug development in general. Big Pharma is looking to develop faster than ever, acquire products, or both. These companies are strategizing about pricing and upcoming public scrutiny. Big Pharma has been active in M&A despite market uncertainty. Big Pharma is also navigating changes at both the FDA and FTC.
6. Health Care
Hospitals and health care delivery systems are still reeling from COVID-19 and employee activism. These organizations are facing waves of litigation and new demands from the workforce. At the same time, health care systems and private investors are working feverishly to consolidate health care delivery systems.

The top growth practices for 2023 include:

1. Labor & Employment
An overwhelming number of clients in the U.S. describe themselves as awash in changing regulations around labor. These clients see employee activism at 40-year highs. Discrimination claims are growing as are wage and hour complaints. Few companies feel immune, and almost all clients are looking for counsel and advice.
2. Data Privacy/Cyber
With five states having their own data privacy regulations, clients are trying to see how and where they are impacted — and remain in compliance. Companies feel they are exposed on numerous fronts and want state-of-the-art training and compliance. In addition, 40% of top legal decision-makers say they get no meaningful outreach from their primary law firms on offering these services.
3. Investigations
Companies are feeling a need to be above reproach. They are quickly launching investigations as soon as any allegations arise. In addition, top legal decision-makers see government investigations growing. They believe political winds are blowing against big business.
4. Litigation
Clients’ litigation caseloads are at record levels — and are heading up. The growth is in the complex cases and new litigation including social media, ESG claims, and new types of discrimination. Few clients see an end to the stream of litigation. And they all want to know your approach and early assessment before hiring any law firm.
5. Class Actions
More companies face class actions than last year. Look to employee activism, increased regulations and new actions arising out of ESG. Plaintiffs are emboldened and claims are getting larger.
The opportunities will go to the firms bringing unmatched industry understanding and early thinking about the strategy for the matter at hand — the earlier the better.
A Look Back: Practice Outlook 2022
Law firms enjoyed strong and steady market-based tailwinds as 2022 began. A BTI study based on more than 240 interviews with top legal decision-makers revealed these tailwinds included: Record levels of workloads for the second year in a row and sending more of the budget to outside counsel than last year.
The survey found 10 industries with the largest increased spending on outside counsel planned.
1. Media. Companies are jockeying for positions in the streaming and content-driven world. Look for transactions and deals of all sizes. Tech companies often include themselves as media companies too. And content is not limited to news, movies, TV and sports — add in gaming, music catalogs and education content.
2. Biotech. The COVID-19 vaccine race increased the pace of R&D and transactions across all drug development. These companies will be raising capital, cutting deals and entering into transactions.
3. Tech. Despite public scrutiny, most tech companies will keep making acquisitions — especially at the small and midsize level. Some large-cap tech still plans large transactions to establish market position.
4. Big Pharma. Big pharma is looking to build out their pipeline and streamline their product lines and will look to biotech startups and larger targets.
5. Food/Agritech. Advances in food technology are driving IP, regulatory work, transactions, and capital raising along with litigation. The rate of change in this arena rivals other technology markets — and brings a host of legal issues with it.
6. Private Equity. These funds have record levels of capital to invest — and they are eager. These funds will look to large firms for the biggest deals and small and midsize firms for smaller deals. Look for them to be the buyers when large companies sell off non-strategic businesses.
7. Financial Services. Financial services face regulatory demands, class actions and labor actions. They also are under intense pressure to lower costs by getting larger (acquisitions) or selling off non-core assets.
8. Health Care. Health care faces regulatory scrutiny, labor issues, capacity management, and the same demands for capital pre-pandemic. In addition, health care organizations are acquisitive as the industry consolidates.
9. Investment Banking. Both the large and boutique investment banks are benefiting from record levels of M&A, private equity and IPOs. They are big consumers of legal services and referral sources — offering double-edged growth. Investment banking will remain robust as the M&A and private equity markets stay exceptionally strong.
10. Banks. Look for banks to consolidate to reduce costs and help justify the technology investment they will have to make to stay competitive. Look for more activity at regional and midsize banks.
